This exact same issue hit me today after setting up Dropbox in Online-Only mode on a new Mac laptop yesterday. I also have a workaround that makes the Logic projects openable again.
Logic projects that were saved as monolithic project files seem to work ok and open in Logic on both Macs.
Logic projects that were saved as folders are missing files on both Macs even when you select make available offline.
When you go to Dropbox on the web and download a project folder, Dropbox zips that folder up. When you expand the .zip on the Mac you get all the files but there is something wrong with project file: it has a .logicx extension but internally in the file something is misidentified such that it cannot be opened like a logic file, even telling the Mac manually to have Logic open it.
Workaround, that might also help diagnose what's going on: If instead of downloading the project folder, you go into the folder on the web and download just the project file itself, Dropbox downloads it as a .tar.zip instead of just .zip. When you unzip that file it has the name dropbox_download.logicx but is actually fully openable by Logic. So, you can rename that file, drag it into your empty project folder outside of your Dropbox file structure and you're good to go.

You... my friend are a genius!!! You may have saved my career with this temporary fix!!!! THANK YOU THANK YOU THANK YOU!!!! I don't know why dropbox can't use this info to figure out how to get this fixed. Dropbox is holding all my files created with the new Mac version hostage since I migrated everything to a new computer that won't yet let me install the Mac version. I had to do your fix with a PILE of logic files to get them off dropbox. I've lost all confidence in dropbox today through this. I can't thank you enough for your trick!!!

Hi! This is copied from a user who posted above that I was thanking... I think it's Explorer. But anyway this was his fix -- temporary but it gets your files that were held hostage off of dropbox.

oh, I already tried this one, but most of my session files that gone lost / are corrupted have more than 4gb (Software / pre recorded instruments for live concerts, and some concerts recorded live multitrack) and seems like dropbox only allows to download fat32 file size limit online, because the tar.gz file usually tops on 3.somethin gb in size.
And when I unpack them logic says it`s corrupted and won't open.
